These Engagement Terms govern the Remote Capacity Leak Audit provided by Meridian Data Holdings LLC, doing business as MDH (“MDH”), to the purchasing client (“Client”).
By accepting these terms and submitting payment, Client agrees to the following.
Engagement
MDH will conduct one Remote Capacity Leak Audit covering one agreed recurring cross-functional workflow.
The engagement is a focused operational diagnosis and workflow-redesign engagement.
It is not an enterprise-wide transformation, implementation project, software-development engagement, security review, compliance review, financial audit, or ongoing consulting retainer.
Scope
The Audit covers one recurring cross-functional workflow with a reasonably identifiable beginning and end.
Before the Audit begins, MDH and Client will agree on the workflow to be examined.
The scope may include, as relevant:
- current-state workflow reconstruction;
- handoff and ownership analysis;
- capacity-leak analysis;
- root-cause analysis;
- review of manual work, rework, waiting, meetings, duplicated effort, and coordination;
- evaluation of appropriate AI and automation opportunities;
- future-state workflow design;
- prioritized recommendations; and
- an executive readout.
Work outside the agreed workflow is outside scope unless separately agreed in writing.
Deliverables
Client will receive:
- Current-State Workflow Diagnosis;
- Capacity-Leak Analysis;
- Root-Cause Findings;
- AI and Automation Opportunity Assessment;
- Future-State Workflow;
- Prioritized 30-Day Action Plan; and
- a 30-minute Executive Readout.
The exact format may vary based on the workflow and available evidence.
Fee
The fee for the Remote Capacity Leak Audit is:
$1,250 USD
Payment is due in full before the engagement begins.
There is no retainer and no requirement to purchase implementation or additional services from MDH.
Audit start date and timeline
The Audit is designed to be completed within seven calendar days.
The seven-calendar-day delivery period begins on the confirmed Audit Start Date.
MDH will confirm the Audit Start Date after:
- payment has been received;
- these Engagement Terms have been accepted;
- Client has completed the required intake; and
- the minimum information, access, and stakeholder availability reasonably necessary to begin the Audit have been established.
The seven-day period does not begin solely upon payment if required intake or access is still outstanding.
Client responsibilities
Client agrees to provide reasonable and timely access to the information necessary to understand the scoped workflow.
Depending on the workflow, this may include:
- the workflow owner;
- relevant participants or stakeholders;
- existing process documentation;
- forms, templates, checklists, or SOPs;
- relevant system or workflow information;
- screenshots or examples;
- available volume, timing, or effort data; and
- other artifacts reasonably necessary to understand how the work operates.
MDH will seek the minimum evidence reasonably necessary for the engagement.
Client is responsible for ensuring it has authority to provide any information shared with MDH.
Client should not provide highly sensitive personal information, regulated data, credentials, passwords, protected health information, payment-card information, or other restricted information unless MDH has specifically agreed in writing that such information is necessary and appropriate to receive.
Client-caused delays
The seven-day delivery timeline depends on reasonable client responsiveness.
If required information, stakeholder access, approvals, or other necessary inputs are delayed by Client, MDH may extend the delivery date by a corresponding reasonable period.
A Client-caused delay does not expand the scope of the engagement.
If an extended delay materially prevents completion of the Audit, MDH and Client will agree on a revised delivery date.
Analysis, estimates, and assumptions
The Audit may include estimates of:
- employee effort;
- coordination burden;
- workflow volume;
- cycle time;
- avoidable work;
- capacity-recovery opportunity; and
- potential operational impact.
MDH will distinguish, where reasonably possible, between information that is measured, reported, estimated, assumed, or unknown.
Capacity estimates are directional analytical estimates, not guarantees.
Recovered capacity does not necessarily equal payroll savings or cash savings. It may instead create additional throughput, faster response, reduced overtime, improved quality, management capacity, headcount avoidance, or other operating value.
Recommendations depend on the quality and completeness of information available during the engagement.
AI and automation recommendations
MDH may identify opportunities for automation or AI-enabled workflow improvement.
Such recommendations are operational recommendations only.
Unless separately agreed in writing, the Audit does not include:
- production implementation;
- software development;
- system integration;
- AI-agent deployment;
- security validation;
- vendor procurement;
- technical architecture;
- production testing; or
- ongoing monitoring.
MDH may also recommend that a process remain human or that workflow redesign occur before automation.
Implementation
Implementation is not included in the $1,250 Audit fee.
Client may:
- implement recommendations internally;
- use another provider; or
- discuss a separate implementation engagement with MDH.
There is no obligation to hire MDH for additional work.
Confidentiality
Each party may receive non-public information from the other in connection with the engagement.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the engagement.
Confidential information does not include information that:
- is or becomes publicly available without breach of these terms;
- was already lawfully known to the receiving party;
- is independently developed without use of the other party’s confidential information; or
- is lawfully received from another source without confidentiality restrictions.
MDH will not publicly identify Client, publish Client findings, or use Client-specific information as a case study without Client’s permission.
Ownership
Client retains ownership of information and materials supplied by Client.
Upon full payment, Client may use the final Audit deliverables prepared specifically for Client for its internal business purposes without additional fees.
MDH retains ownership of its pre-existing and independently developed:
- methodologies;
- analytical frameworks;
- templates;
- processes;
- tools;
- know-how;
- operating concepts; and
- generalized expertise.
To the extent any MDH-owned material is incorporated into a Client deliverable, Client receives a perpetual right to use that material internally as part of the delivered Audit.
MDH may use generalized knowledge and experience gained through the engagement so long as doing so does not disclose Client confidential information.
No guaranteed outcome
MDH provides analysis and recommendations based on the information reasonably available during the engagement.
MDH does not guarantee:
- a specific amount of capacity recovery;
- financial savings;
- revenue improvement;
- employee performance improvement;
- successful implementation;
- software compatibility; or
- any particular business result.
Client remains responsible for business decisions and implementation decisions made based on the Audit.
Professional and technical limits
MDH is providing operational-improvement services.
Unless expressly agreed otherwise, MDH is not providing legal, tax, accounting, cybersecurity, regulatory, employment, or other licensed professional advice.
Recommendations involving those areas should be reviewed by the appropriate qualified professional.
Cancellation
If MDH determines before the Audit Start Date that the proposed workflow is not appropriate for the Remote Capacity Leak Audit, MDH may decline the engagement and refund the Audit fee.
If Client cancels before the confirmed Audit Start Date, MDH will refund the Audit fee, less any non-refundable payment-processing charges actually incurred.
After the confirmed Audit Start Date, the fee is non-refundable because MDH has reserved capacity and begun the engagement.
MDH may make reasonable exceptions at its discretion.
Limitation of liability
To the maximum extent permitted by applicable law, MDH’s total liability arising from the Remote Capacity Leak Audit will not exceed the amount Client paid MDH for the engagement giving rise to the claim.
Neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the engagement, except where such limitation is prohibited by law.
Nothing in these terms limits liability that cannot legally be limited.
Independent contractor
MDH is an independent contractor.
Nothing in this engagement creates an employment relationship, partnership, joint venture, fiduciary relationship, or agency relationship between MDH and Client.
Entire engagement
These Engagement Terms, together with the agreed workflow scope and any written modifications accepted by both parties, constitute the agreement for the Remote Capacity Leak Audit.
Changes to the scope or terms must be agreed in writing.
Governing law
These terms will be governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.
Acceptance
By accepting these terms and submitting the $1,250 Audit fee, Client confirms that:
- it has authority to enter into the engagement;
- it understands the fixed scope of the Audit;
- it understands that implementation is not included;
- it understands that analytical estimates are directional rather than guaranteed results; and
- it agrees to these Engagement Terms.
